Terms & Conditions
These Terms and Conditions (“Agreement”) govern the relationship between MA Digiworld (“Company,” “we,” “us,” or “our”) and any client, user, or entity (“Client,” “you,” or “your”) engaging our services. By accessing our website or availing any of our services, you agree to be bound by this Agreement in full. If you do not agree with any part of these Terms, you must refrain from using our services.
1. SCOPE OF SERVICES
1.1: Scope of Services
MA Digiworld offers the following professional services:
- Digital Marketing (Meta Ads, Google Ads, etc.)
- Website Development (static/dynamic websites, e-commerce, etc.)
- Content Creation (written, visual, and video)
- Strategy Consulting (brand, marketing, social media)
- Graphic Design (brand identity, marketing creatives)
- UI/UX Design (mobile and web applications)
The exact scope of services, deliverables, and timelines shall be defined in a written agreement, invoice, or scope of work (SOW) shared and accepted between both parties.
2. CLIENT RESPONSIBILITIES
2.1: Access and Assets
Client shall provide full and timely access to digital assets required to deliver the services, including but not limited to:
- Meta Business Manager and Ad Accounts
- Google Ads/Analytics Accounts
- Website hosting, domain, and CMS access
- Brand logos, images, copy, and other content
- Relevant credentials, if required, for third-party tools
MA Digiworld shall not be liable for any delay, suspension, or failure in service delivery due to Client’s failure to provide the necessary access or materials.
2.2: Accuracy of Information
The Client is solely responsible for ensuring that all materials and instructions provided are complete, accurate, and compliant with applicable laws and regulations.
2.3: Authorization
By submitting data, assets, or platform access, the Client warrants they have full legal rights and authority to do so, and that such use will not infringe on any third-party rights.
3. FEES, INVOICING & PAYMENT TERMS
3.1: Initial Payment
For most services, 50% of the total project or service cost is payable upfront upon confirmation. The balance will be invoiced monthly in arrears or as mutually agreed.
3.2: Payment Methods
MA Digiworld accepts payment through bank transfers, online payment gateways, or other methods agreed in writing. Additional fees (including platform charges or currency conversions) shall be borne by the Client.
3.3: Ads Funding and Handling Charges
Where MA Digiworld facilitates advertisement payments on behalf of the Client, a 12% handling and service charge shall apply on the paid media amount, covering payment gateway fees, taxes, currency fluctuations, and administrative costs.
3.4: Late Payments
Invoices not settled within 7 business days from the due date shall attract a late fee of 5%. Repeated non-payment may result in service suspension or legal action.
4. SERVICE HOURS & AVAILABILITY
4.1 MA Digiworld’s standard service delivery hours are from 10:30 AM to 9:30 PM Pakistan Standard Time (PKT) for local clients.
4.2 For international clients, our service hours shall mirror the same 10:30 AM to 9:30 PM time window as per the client’s respective local time zone.
4.3 Outside of these service hours, MA Digiworld may experience delays in response or execution; however, we maintain 24/7 availability for emergencies, technical issues, or operational disruptions that may impact the Client’s ongoing campaigns, platforms, or digital presence.
4.4 Emergency support is accessible via dedicated communication channels provided at the time of client onboarding.
5. INTELLECTUAL PROPERTY
4.1: Ownership
All original work created by MA Digiworld under this Agreement shall remain the intellectual property of MA Digiworld until full payment is received, unless otherwise agreed in writing.
4.2: License to Use
Upon full payment, MA Digiworld grants the Client a non-exclusive, non-transferable, worldwide license to use the deliverables for their intended purpose.
4.3: Third-Party Materials
MA Digiworld may use third-party assets (e.g., stock images, fonts, plugins) which are subject to their own license terms. Client shall be responsible for securing necessary licenses where applicable.
6. CONFIDENTIALITY
Both parties agree to keep confidential all proprietary or sensitive information disclosed during the course of the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
7. TERMINATION
6.1: Termination by Client
Client may terminate services with at least fifteen (15) days’ written notice. Any fees for work already completed or in progress shall be payable in full, subject to the Refund & Cancellation Policy.
6.2: Termination by Company
MA Digiworld may terminate the agreement at any time due to breach of terms, non-payment, or unethical behaviour. In such event, no further services shall be provided, and any outstanding balances shall remain due.
8. LIMITATION OF LIABILITY
7.1: Limitation of Liability
To the fullest extent permitted by applicable law, MA Digiworld shall not be liable for:
- Loss of profits, revenue, or data
- Indirect or consequential damages
- Platform changes, account suspensions, or algorithm impacts
- Third-party service outages or breaches
Our total aggregate liability shall not exceed the total fees paid by the Client for the specific project or month in dispute.
9. INDEMNIFICATION
8.1: Indemnification
Client agrees to indemnify, defend, and hold harmless MA Digiworld, its employees, contractors, and affiliates from and against any and all claims, damages, losses, or liabilities arising out of:
- Breach of this Agreement
- Violation of any third-party rights
- Unauthorized use of deliverables
- Misuse or misrepresentation of data or access provided
10. FORCE MAJEURE
Neither party shall be liable for delay or failure in performance due to circumstances beyond reasonable control, including but not limited to: acts of God, government restrictions, cyber-attacks, platform outages, or civil unrest.
11.GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Karachi.
2.AMENDMENTS
MA Digiworld reserves the right to amend these Terms and Conditions at any time. Updated versions will be posted on our website. Continued use of our services constitutes acceptance of the updated terms.
13.ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between MA Digiworld and the Client regarding the subject matter hereof and supersedes all prior agreements, oral or written.
