Taiwanese electronics giant Yageo Corp. has pledged to enforce strict technology protection measures if it successfully acquires Japan’s Shibaura Electronics, amid rising concerns from Tokyo over national security and tech sovereignty.

Speaking to reporters in Taipei, Yageo Chairman Pierre Chen confirmed the company will meet with Shibaura executives in Tokyo by mid-June to explore cooperation opportunities. He emphasized Yageo’s commitment to maintaining Japan’s tech integrity, stating, “We will implement strict controls to ensure technology does not leak.”

Yageo, the world’s largest manufacturer of chip resistors and a key supplier for tech giants like Apple, Nvidia, and Tesla, launched an unsolicited takeover of Shibaura in February. Initially offering ¥4,300 per share, Yageo raised its bid to ¥6,200 after rival bidder Minebea Mitsumi stepped in as a “white knight” to defend Shibaura. The stock closed at ¥6,100 on Friday.

With this acquisition, Yageo aims to strengthen its thermistor portfolio—key temperature-sensing components used in electronics—while investing in Shibaura’s R&D and expanding manufacturing within Japan. The move also aligns with Yageo’s strategy to offer broader component solutions to global clients, helping streamline their supplier networks.

While unsolicited takeovers were once rare in Japan, recent reforms in M&A guidelines by the Ministry of Economy, Trade and Industry have softened resistance to such deals, provided they meet national interests. Chen noted that negotiations with the ministry have been progressing “smoothly.”

If approved, the acquisition would enhance Yageo’s ability to compete globally and provide comprehensive offerings for next-gen devices and AI infrastructure.
